1. Definitions

• "Platform" — the Zaags Schools web application, PWA, API, and all associated services operated by L8 Group.
• "L8 Group" / "We" / "Us" — Zaags Schools (L8 Group), a company registered in Portugal, operating at zaags.school.
• "School" — any educational institution, language school, academy, or training centre that registers on the Platform.
• "Manager" — the person who registers the School and has administrative control over it.
• "User" — any individual who accesses the Platform, including Managers, Coordinators, Teachers, Students, and Parents.
• "Buyer" — a User who purchases an Offer or Module via the Marketplace.
• "Offer" — a product listing created by a School, which may be a single module or a bundle of modules.
• "Marketplace" — the public-facing storefront feature that allows Schools to sell Offers online.

2. Account Registration

To use the Platform, you must create an account by providing a valid email address and setting a password. You may also be invited by a School Manager.

• You must provide accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must be at least 16 years old to create an account. Users under 16 require parental consent.
• One person may hold accounts in multiple Schools simultaneously.
• We reserve the right to suspend or terminate accounts that violate these terms.

3. Platform Services

Zaags Schools provides the following services to registered Schools:

• User Management — enrolling and managing teachers, students, parents, coordinators, and managers with role-based access control.
• Academic Management — academic years, subjects, modules, rooms, and scheduling (weekly time slots, recurring lessons).
• Attendance Tracking — QR-code-based and manual attendance recording for students.
• Grading & Exams — grade books, exam management, and score recording with weighted averages.
• Communication — internal messaging between users within a school, notifications, and email notifications.
• Certificates — generation and issuance of completion certificates.
• Substitute Management — substitute teacher assignment with automated notifications.
• Marketplace & Payments — public school storefronts, offers/bundles, Stripe-powered checkout, and automatic enrolment on payment.
• Analytics & Reports — dashboards and data exports for school administrators.
• GDPR Compliance — data export and erasure request processing.

4. Subscription & Trial

• New Schools receive a 30-day free trial with full access to all features.
• After the trial period, a paid subscription is required to continue using the Platform.
• Pricing is as displayed on the Platform at the time of purchase.
• We reserve the right to change pricing with 30 days' written notice.
• No refunds are issued for partial months of service.

5. Marketplace & Payments

5.1 For Schools (Sellers)

• Schools may create Offers to sell modules or bundles to the public via their storefront page at /schools/{slug}.
• All prices are set by the School and displayed inclusive of applicable taxes.
• Schools are responsible for the accuracy of their Offer descriptions and pricing.
• Schools may connect their own Stripe account (Stripe Connect) to receive payments directly. A 3% platform fee is deducted automatically from each transaction.
• Schools without a connected Stripe account will have payments processed through the Platform's Stripe account. An invoice for the platform fee (3% + Portuguese VAT at 23%) will be issued by L8 Group.

5.2 For Buyers

• All payments are processed securely via Stripe. We do not store credit card details on our servers.
• Upon successful payment, students are automatically enrolled in the purchased module(s).
• Prices may include VAT depending on the buyer's country. VAT is calculated in compliance with EU regulations:
  • Domestic sales (within Portugal): Portuguese VAT rate (23%).
  • EU B2C: destination country VAT rate.
  • EU B2B with valid VAT number: reverse charge (0%).
  • Non-EU: no VAT applied.
• Duplicate purchases (enrolling in a module where the student is already active) are rejected.

5.3 Refunds

• Refund requests must be directed to the School that sold the Offer.
• L8 Group does not mediate disputes between Buyers and Schools.
• Refunds, if granted by a School, are processed via Stripe.

6. User Roles & Permissions

The Platform uses a role-based access control system. Each User is assigned one role per School:

• Super Admin — full platform-level access (L8 Group only).
• Manager — full school-level access, including user management, billing, and settings.
• Coordinator — scheduling, substitutions, and academic management.
• Teacher — attendance, grades, lessons, and communication for assigned modules.
• Student — view schedule, grades, attendance, and messages.
• Parent — view linked student(s) grades, attendance, and communicate with teachers.

School Managers may suspend or reactivate Users at any time. Suspended Users lose access immediately.

7. Communication & Emails

• The Platform sends transactional emails (password resets, invitations, payment confirmations, substitute notifications) from management@zaags.school on behalf of the relevant School.
• Users may set their preferred communication language from the supported languages.
• Internal messages between Users are stored within the Platform and may trigger email notifications.
• You consent to receiving transactional emails necessary for the operation of your account. These are not marketing emails and cannot be unsubscribed from while your account is active.

8. Data & Content

• Schools retain ownership of all data they input into the Platform (student records, grades, schedules, etc.).
• L8 Group does not claim any intellectual property rights over School data.
• We may use aggregated, anonymised data for analytics and platform improvement.
• You must not upload content that is illegal, defamatory, or infringes third-party rights.
• We reserve the right to remove content that violates these terms.

9. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose.
• Attempt to gain unauthorised access to other accounts or systems.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Use automated scripts, bots, or scrapers to access the Platform.
• Circumvent rate limits, authentication, or security measures.
• Transmit viruses, malware, or any harmful code.
• Impersonate another person or entity.

10. Availability & Modifications

• We strive for high availability but do not guarantee 100% uptime.
• We may modify, suspend, or discontinue features with reasonable notice.
• Scheduled maintenance will be communicated in advance where possible.
• We are not liable for losses caused by temporary service interruptions.

11. Limitation of Liability

• The Platform is provided "as is" and "as available" without warranties of any kind.
• L8 Group is not liable for indirect, incidental, or consequential damages arising from your use of the Platform.
• Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not responsible for the accuracy of data entered by Schools or Users.
• We are not liable for payment disputes between Buyers and Schools.

12. Termination

• You may close your account at any time by contacting us at management@zaags.school.
• School Managers may remove Users from their School at any time.
• We may suspend or terminate accounts for violation of these terms with immediate effect.
• Upon termination, you may request a data export under GDPR before your data is deleted.
• Data is retained for 90 days after account closure, then permanently deleted unless a longer retention period is required by law.

13. AI-Powered Content Generation

The Platform includes AI-powered features that generate lesson guides, tests, and images. By using these features, you acknowledge and agree to the following:

13.1 Content Disclaimer

AI-generated lesson guides, tests, and images are suggestions only. The teacher and/or school is solely responsible for reviewing, editing, and verifying the accuracy of all AI-generated content before use in educational settings.

13.2 Data Processing

Lesson content and context materials are processed by OpenAI's API to generate suggestions. This processing is governed by OpenAI's API Terms of Service, which state that API inputs and outputs are not used to train OpenAI models.

13.3 Content Ownership

AI-generated content (lesson guides, tests, images) belongs to the school and/or teacher who created it. L8 Group does not claim ownership over AI-generated outputs.

13.4 Image Generation

Images are generated using DALL-E 3. Generated images may not perfectly represent the requested subject matter. Teachers should verify image appropriateness before use.

13.5 Billing

Image generation beyond the plan's monthly allocation is charged at €2 + applicable taxes per image. School managers can control per-teacher budgets and may charge back overage costs.

13.6 No Guarantee

AI outputs are not guaranteed to be accurate, complete, or appropriate for any specific educational context. Professional judgment should always prevail.

14. Governing Law

These terms are governed by the laws of Portugal. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Portugal.

15. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email to registered Users and posted on this page. Continued use of the Platform after changes constitutes acceptance of the updated terms.
